Introduction

These Terms of Service ("Terms") govern your use of the Keka Web Studio website located at kekawebstudio.com (the "Site") and any services provided by Keka Web Studio ("we," "our," or "us"). By accessing the Site or engaging our services, you agree to be bound by these Terms.

Project Agreements

Proposals and Contracts

All projects require a signed proposal or contract that specifies:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment schedule
• Revision policies
• Ownership and licensing terms

In the event of any conflict between these Terms and a signed project contract, the project contract shall prevail.

Changes to Scope

Requests for changes or additions beyond the agreed scope may result in additional charges and adjusted timelines. We will provide a written estimate for approval before proceeding with out-of-scope work.

Payment Terms

Deposits

A deposit is required before work begins, as specified in your project proposal (typically 50% of the total project cost).

Payment Schedule

Payments are due according to the schedule outlined in your project contract. Final payment is due before the website launch or final file delivery unless otherwise agreed.

Late Payments

Invoices not paid within 14 days of the due date may incur a late fee of 5% per month. We reserve the right to pause work on projects with outstanding balances.

Refunds

Deposits are non-refundable once work has commenced. Refunds for other payments will be evaluated on a case-by-case basis.

Client Responsibilities

To ensure successful project completion, you agree to:

• Provide timely feedback and approvals at each project milestone
• Supply all required content, images, logos, and brand assets in a timely manner
• Provide accurate and complete information about your business
• Respond to communications within a reasonable timeframe
• Review and test deliverables promptly
• Pay invoices according to the agreed schedule

Delays caused by late client responses may result in adjusted timelines and potential additional charges.

Intellectual Property

Your Content

You retain ownership of all content you provide (text, images, logos, etc.). You represent that you have the right to use and share this content and that it does not infringe on any third-party rights.

Our Work

Upon receipt of final payment, you will own the custom website design and code created specifically for your project, with the following exceptions:

• Third-party assets: Fonts, stock images, plugins, and libraries remain subject to their respective licenses.
• Reusable code and frameworks: We retain the right to reuse general code structures, techniques, and components that are not unique to your project.
• Portfolio rights: We retain the right to display your completed project in our portfolio and marketing materials unless otherwise agreed in writing.

Pre-existing Materials

Any pre-existing materials, tools, or frameworks we bring to the project remain our property. You are granted a license to use these materials solely as part of your delivered project.

Hosting and Third-Party Services

Hosting

Unless otherwise specified, websites are deployed to hosting platforms such as Vercel. Hosting fees and terms are separate from our project fees and are subject to the hosting provider's terms of service.

Third-Party Integrations

We may integrate third-party services (payment processors, analytics tools, APIs) into your project. These services are subject to their own terms and privacy policies. We are not responsible for the performance, availability, or policies of third-party services.

Domain Names

Domain registration and renewal are your responsibility unless we explicitly agree to manage them on your behalf. We recommend maintaining your own account with your domain registrar.

Client Dashboard Services

If your project includes access to our client dashboard:

• Dashboard access is provided as part of your service package or ongoing support plan.
• We may access your Google Analytics, Google Business Profile, and other authorized accounts to provide reporting.
• You grant us permission to retrieve and display this data within the dashboard.
• Dashboard features and availability may change over time as we improve the platform.
• We are not responsible for data accuracy issues caused by third-party analytics providers.

Warranties and Disclaimers

Our Warranty

We warrant that:

• Services will be performed in a professional and workmanlike manner.
• Deliverables will substantially conform to the agreed specifications.
• We will address any defects or errors reported within 30 days of project completion at no additional charge.

Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee:

• Specific search engine rankings or SEO results
• Increased sales, traffic, or conversions
• Uninterrupted or error-free website operation
• Compatibility with all browsers, devices, or future technologies

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEKA WEB STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Keka Web Studio and its owner from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms
• Content you provide that infringes third-party rights
• Your use of the delivered website or services
• Any dispute between you and your customers

Termination

By You

You may terminate a project at any time with written notice. You will be responsible for payment for all work completed up to the termination date, plus any non-refundable third-party costs incurred on your behalf.

By Us

We may terminate a project if:

• Payment is not received as agreed
• You fail to provide necessary materials or feedback after reasonable requests
• You engage in abusive, threatening, or unprofessional conduct
• Continuing the project would require us to violate laws or ethical standards

Upon termination, we will deliver any completed work for which payment has been received.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project, including business strategies, customer data, and technical details. This obligation survives the termination of our working relationship.

Dispute Resolution

Informal Resolution

Before pursuing formal legal action, both parties agree to attempt to resolve disputes through good-faith negotiation.

Governing Law

These Terms shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Massachusetts.

Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Site or services after changes constitutes acceptance of the revised Terms.

For active projects, the Terms in effect at the time of contract signing will apply unless both parties agree to updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with any signed project proposals or contracts, constitute the entire agreement between you and Keka Web Studio regarding the subject matter herein and supersede all prior agreements or communications.
